Terms of Service

1. Acceptance of Terms

By accessing or using the services provided by Nevyo LLC (“Nevyo,” “we,” “us,” or “our”), including the nevyo.com website, dLoop Engagement & Growth, dLoop Mobile App, and CycleIQ OS (collectively, the “Services”), you agree to be bound by these Terms of Service (“Terms”). If you are using the Services on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

If you do not agree to these Terms, you may not access or use the Services.

2. Description of Services

Nevyo provides verified engagement infrastructure for local commerce and the circular economy. Our platform includes:

• dLoop Engagement & Growth: a business growth platform offering discovery, loyalty, payment processing, promotions, and analytics for local businesses.
• dLoop Mobile App: a consumer application for discovering local businesses, earning loyalty credits, redeeming rewards, and tracking environmental impact.
• CycleIQ OS: a verification-based point-of-sale system for certified recycling centers, providing transaction processing, material verification, ESG reporting, and municipal compliance tools.

All data processed through our platform is subject to verification standards as described in our product documentation. Service availability, features, and specifications may vary by plan and are subject to change.

3. User Accounts

To access certain features of our Services, you may need to create an account. You agree to:

• Provide accurate, current, and complete information during registration
• Update your information to keep it accurate and complete
• Maintain the confidentiality of your account credentials
• Accept responsibility for all activities that occur under your account
• Notify us immediately of any unauthorized use of your account

We reserve the right to suspend or terminate accounts that contain inaccurate information or violate these Terms.

4. Subscription Plans and Fees

4.1 Plans

dLoop Engagement & Growth is available in Free, Pro, and Elite tiers. CycleIQ OS pricing is determined by center volume and configuration. Current pricing, features, and limits for each plan are described on the relevant product pages.

4.2 Billing

Paid subscriptions are billed monthly or annually, as selected at the time of purchase. All fees are quoted in U.S. dollars and are non-refundable except as expressly stated in these Terms or required by law. You authorize us to charge your designated payment method for all applicable fees.

4.3 Price Changes

We may change our pricing at any time. For existing subscribers, price changes will take effect at the start of the next billing cycle following at least thirty (30) days' notice. Your continued use of paid Services after a price change constitutes acceptance of the new pricing.

4.4 Cancellation

You may cancel your paid subscription at any time. Cancellation takes effect at the end of the current billing period. No refunds will be provided for partial billing periods. Upon cancellation, your account will revert to the Free tier (if available) or be deactivated.

5. Payment Processing

Payments made through the dLoop platform — including consumer transactions, loyalty credit redemptions, and business subscription fees — are processed by third-party payment processors. By using payment features, you agree to the applicable payment processor's terms and conditions.

Nevyo is not responsible for errors, delays, or failures caused by third-party payment processors. Transaction processing fees may apply and will be disclosed prior to completing a transaction.

6. Loyalty Credits and Rewards

Loyalty credits earned through the dLoop ecosystem are subject to the following conditions:

• Credits are earned through verified interactions (visits, purchases, recycling transactions) and have no cash value
• Credits may be redeemed at participating businesses on the dLoop network, subject to availability and merchant terms
• Credit balances, earning rates, and redemption values may be adjusted at our discretion with reasonable notice
• Credits are non-transferable and may not be sold, bartered, or exchanged outside the dLoop platform
• Unused credits may expire after twelve (12) months of account inactivity
• Fraudulent or manipulated credit activity may result in forfeiture of credits and account suspension

7. Acceptable Use

You agree to use our Services only for lawful purposes and in accordance with these Terms. You may not:

• Submit false, misleading, or fraudulent data through our platform
• Attempt to circumvent verification processes or manipulate transaction records
• Interfere with or disrupt the operation, security, or performance of our Services
• Use automated means (bots, scrapers, crawlers) to access our Services without our written permission
• Reverse-engineer, decompile, or attempt to extract source code from our software
• Use our Services in any manner that violates applicable local, state, national, or international law
• Impersonate another person or entity or misrepresent your affiliation

8. Verified Data Standards

A core principle of Nevyo's platform is verified data integrity. All data labeled as “verified” within our ecosystem has been confirmed through at least one of the following methods: a wallet payment through the dLoop network, a POS sync from a connected system (such as CycleIQ), or a GPS-confirmed QR check-in at a physical location.

While we implement commercially reasonable measures to ensure data accuracy, we do not guarantee that verified data is free from all errors. Users relying on verified data for compliance, regulatory, or business decisions do so at their own discretion.

9. Intellectual Property

All content, features, and functionality of our Services — including text, graphics, logos, icons, software, and data compilations — are owned by Nevyo LLC and are protected by copyright, trademark, and other intellectual property laws. You may not reproduce, distribute, modify, or create derivative works from any part of our Services without our prior written consent.

“Nevyo,” “dLoop,” “CycleIQ,” and associated logos are trademarks of Nevyo LLC. Use of these marks without our written permission is prohibited.

10. User Content

You retain ownership of content you submit through our Services (e.g., business profiles, photos, reviews). By submitting content, you grant Nevyo a non-exclusive, royalty-free, worldwide license to use, display, and distribute that content in connection with operating and promoting our Services. You represent that you have the right to grant this license and that your content does not infringe the rights of any third party.

11. Disclaimer of Warranties

The Services are provided “as is” and “as available” without warranties of any kind, whether express, implied, or statutory, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement. Nevyo does not warrant that the Services will be uninterrupted, error-free, secure, or free of viruses or other harmful components.

12. Limitation of Liability

To the fullest extent permitted by applicable law, Nevyo LLC, its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of the Services, including but not limited to loss of profits, data, business opportunities, or goodwill.

Our total aggregate liability for any claims arising under these Terms or related to the Services shall not exceed the greater of (a) the amount you paid to Nevyo in the twelve (12) months preceding the claim, or (b) one hundred dollars ($100).

13. Indemnification

You agree to indemnify, defend, and hold harmless Nevyo LLC, its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising from or related to: (a) your use of the Services; (b) your violation of these Terms; (c) your violation of any rights of a third party; or (d) any content you submit through our platform.

14. Dispute Resolution

14.1 Informal Resolution

Before filing a formal dispute, you agree to attempt to resolve the matter informally by contacting us at legal@nevyo.com. We will attempt to resolve the dispute within thirty (30) days.

14.2 Binding Arbitration

If informal resolution is unsuccessful, any dispute arising from or relating to these Terms or the Services shall be resolved by binding arbitration administered by JAMS under its Streamlined Arbitration Rules. The arbitration shall be conducted in Los Angeles County, California. The arbitrator's decision shall be final and binding.

14.3 Class Action Waiver

You agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action. If this waiver is found to be unenforceable, the entirety of this arbitration provision shall be null and void.

15. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law provisions. Any legal proceedings not subject to arbitration shall be brought in the state or federal courts located in Los Angeles County, California.

16. Termination

We may suspend or terminate your access to the Services at any time, with or without cause, and with or without notice. Upon termination: (a) your right to use the Services ceases immediately; (b) any outstanding fees become due; (c) your data may be retained as required by law or legitimate business purposes; and (d) any accrued rights and obligations survive termination.

You may terminate your account at any time by contacting us or through your account settings.

17. Force Majeure

Nevyo shall not be liable for any failure or delay in performance resulting from causes beyond our reasonable control, including but not limited to natural disasters, pandemics, government actions, internet or telecommunications failures, cyberattacks, or utility outages.

18. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary so that the remaining provisions of these Terms remain in full force and effect.

19. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Nevyo LLC regarding your use of the Services and supersede all prior agreements and understandings.

20. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on our website with a new “Last updated” date. For significant changes affecting paid subscribers, we will provide at least thirty (30) days' notice. Your continued use of the Services after such changes constitutes your acceptance of the revised Terms.
